Description:
Job Purpose:The Associate General Counsel will support the office of the General Counsel and be a key member of the Legal Department, providing legal advice and consultation on a variety of issues mainly relating to the business activities of the Company's treasury and securitization functions.
Essential Job Functions (Duties/Responsibilities)
- The Associate General Counsel will have the following duties and responsibilities, including but not limited to:
- Provide legal support for the Company's mortgage warehouse and repurchase facilities and its secured and unsecured credit facilities, and the Company's treasury function generally;
- Work on CRE commercial loan obligation securitizations (and similar vehicles);
- Provide legal advice and consultation to the treasury and securitization functions in connection with daily operational matters, such as loan transfer and compliance issues;
- Provide guidance and advice to various business units within the Company;
- Manage internal business relationships; and
- General corporate compliance and legal assistance, including but not limited to drafting and review of contracts, including those related to the Company's joint ventures
Qualifications:
Education: A Bachelor's degree and J.D. are required with strong academic credentials from an accredited law school.
Experience: Minimum of 7 years-experience with commercial finance transactions and mortgage warehouse facilities. Commercial loan securitization and CMBS experience a plus.
Knowledge/Skills/Abilities:
- Strong writing and communications skills and a demonstrated ability to work well with executive staff.
- Ability to handle a fast-paced environment and to multi-task efficiently based on the nature of the transaction and the jurisdiction.
- Other in-house corporate experience a plus, including corporate governance, treasury, corporate finance and contract administration.
