What You'll Do:
As Corporate Counsel, you will play a key role in providing legal guidance and support to A Health Care Consultancy. Reporting directly to the CEO, you will be responsible for handling a broad spectrum of legal matters, ensuring compliance with laws and regulations, and mitigating legal risks across various aspects of our business operations.

Risk Management:
  • Proactively identify and mitigate potential internal legal issues, devising strategies to minimize areas of risk.
  • Conduct comprehensive review of customer contracts and NDAs across all group companies, balancing risks against business opportunities.
  • Provide legal guidance to sales teams to secure business while safeguarding the organization's interests.

Contract Drafting and Review:
  • Support management in drafting and reviewing general contracts and third-party agreements.
  • Collaborate with sourcing teams to negotiate and draft procurement contracts.
  • Handle the drafting, review, and negotiation of sales, licensing, and commercial agreements.
  • Assist in M&A activities by reviewing target companies' documentation and coordinating with external counsel as needed.

Regulatory Compliance:
  • Research and stay updated on state-specific regulations and compliance standards in the US. Proactively inform finance and delivery teams about legislative changes that could impact the company.
  • Contribute to ethics and compliance programs to ensure adherence to regulatory requirements.

Strategic Counsel:
  • Aid in developing risk assessments for potential litigation, including cost estimates, success probabilities, and evaluation of potential outcomes.
  • Support management in establishing financial reserves for specific litigation matters.

Litigation Support:
  • Provide documentation support in potential or ongoing litigation, collaborating with external counsel and internal teams as necessary.
  • Direct and oversee outside litigation counsel on various cases or legal matters.

Employee Relations:
  • Offer practical legal advice and guidance to legal department colleagues, business units, and management on a wide range of legal issues.
  • Advise on employment law matters, including HR policies, terminations, employment agreements, and labor law compliance.

Training and Education:
  • Provide guidance on global privacy laws and data protection compliance, overseeing legal and regulatory aspects of data collection, privacy disclosures, and transparency.
  • Generate business legal reports and correspondence, presenting information effectively to management.

Corporate Governance:
  • Assist in trademark and patent matters, coordinating with external counsel as required.
  • Ensure compliance with corporate governance standards and assist in handling potential legal disputes or scenarios leading to litigation.

Who Are You
  • Requires bachelor's degree and Juris Doctor from an accredited law school; and 4-7 years of experience in a large law firm or corporate legal department.
  • Strong understanding of corporate governance, contract law, compliance, and regulatory issues.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Effective communication and interpersonal abilities.
  • Ability to work independently and collaborate effectively within cross-functional teams
