Overview: We are seeking an experienced Corporate Finance and Securities Attorney with a strong background in mergers and acquisitions (M&A) to join our legal team. The Attorney will play a key role in advising on corporate finance transactions, securities offerings, and M&A activities. The ideal candidate will have extensive experience in negotiating and structuring complex transactions, providing strategic advice to clients, and ensuring compliance with regulatory requirements. This role requires strong analytical skills, attention to detail, and the ability to work effectively in a dynamic environment.

Responsibilities:
Corporate Transactions:
  • Lead and support corporate finance transactions, including mergers, acquisitions, divestitures, joint ventures, and corporate restructurings.
  • Draft and negotiate transaction documents, including purchase agreements, merger agreements, and shareholder agreements.
  • Conduct due diligence and assess legal risks associated with transactions.
  • Securities Law Compliance:
  • Advise on securities law matters, including public and private offerings of securities, SEC compliance, and corporate governance.
  • Draft and review SEC filings, such as Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Client Counseling:
  • Provide strategic legal advice and counsel to clients on corporate finance strategies, capital raising, and corporate governance matters.
  • Develop and maintain strong client relationships and serve as a trusted advisor.
  • Regulatory Compliance:
  • Ensure compliance with federal and state laws and regulations governing corporate transactions and securities offerings.
  • Monitor regulatory developments and update clients on changes affecting their businesses.
  • Team Collaboration:
  • Collaborate with internal teams, including finance, tax, and compliance, to facilitate seamless execution of transactions.
  • Supervise and mentor junior attorneys and legal staff as needed.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • Minimum 3-5 years of experience practicing corporate finance and securities law, with a focus on mergers and acquisitions.
  • Proven track record in negotiating and structuring complex corporate transactions.
  • Strong understanding of securities laws, regulations, and compliance requirements.
  • Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly and effectively.
  • Strong analytical and problem-solving skills, with attention to detail and accuracy.
