Description:

A Retail Company is seeking a self-starter, enthusiastic Counsel to join its New York team.

Responsibilities:
  • Structure, negotiate, draft, and close a wide range of agreements for internal client groups including but not limited to long and short form trademark license agreements, retail and/or e-commerce operations, permission and clearance agreements, term sheets, sponsorship/endorsement agreements, event agreements, influencer agreements, agreements/rules for sweepstakes / contests, SAAS agreements, and settlement agreements.
  • Anticipate and identify issues and risks, recommending potential solutions, and identifying trends relating to licensing, corporate law, regulatory matters, intellectual property, employment law, technology, privacy and data protection, marketing, advertising, and promotions.
  • Advise on a broad range of legal matters and compliance activities. This includes drafting and analyzing contracts, responding to business questions, and advising the CLO and Executive Management Team to assist with business decisions.
  • Collaborate in the continuing development of the Company's commercial contracts to develop a scalable, business-centric approach to commercial agreements.
  • Support corporate governance and related compliance.
  • Anticipate, identify, and develop practical, commercially-oriented solutions with respect to a variety of legal and business issues.
  • Assist CLO in managing litigation and other disputes involving the Company with the ability to drive practical and strategic decisions.
  • Develop and operationalize policies, training, templates, and workflows to allow business teams to move quickly while addressing key risks in substantive areas.
  • Consult with and oversee work by outside counsel.
  • Research and advise on legal issues impacting the organization.
  • Develop and maintain expert current knowledge on new developments and legal guidance relevant to the Company's business.
  • Assist with other matters and projects as needed.

Education and Experience:
  • Juris Doctorate required from an ABA-accredited law school and a valid license to practice law in New York State.
  • 3-5+ years of law/firm and/or equivalent in-house experience at a consumer product, media/entertainment company, or a technology company.
  • Must demonstrate proficiency with the following PC software (MS Office Suite including MSWord, Excel, PowerPoint, Outlook).
  • Experience in M&A, IP Due Diligence, privacy law, and/or corporate governance is a plus.
