The Counsel for Technology Commercialization will provide legal advice to clients related to An American Multinational Retail Corporation's technology commercialization initiative. This lawyer will be asked to identify and mitigate risk related to transactions involving new products and new markets, while enabling those teams to reach their priorities and goals.

You'll make an impact by:
  • Contract Review and Drafting:
  • Reviewing and analyzing contracts, including software as a service agreement (Saas), data processing agreements (DPAs), and data transfer agreements.
  • Drafting contracts to ensure that they accurately reflect the parties' implementation and security obligations, comply with relevant data protection laws, and protect the interests of the organization.
  • Product Counseling
  • Evaluating new technology ventures to identify potential risks and liabilities.
  • Collaborating with internal subject matter experts and business teams to address risks within the confines of stated deadlines and objectives.
  • Establishing standard operating procedures to determine whether new features and products are ready to launch, and to subsequently monitor effectiveness of risk-mitigation strategies over time.
  • Data Privacy and Security Compliance:
  • Assessing contracts for compliance with data protection and privacy laws, regulations, and industry standards, such as the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), or other applicable data privacy frameworks.
  • Identifying potential risks and liabilities related to data handling and security in contracts and providing legal recommendations for mitigating those risks.
  • Help develop processes to ensure ongoing compliance with contractual commitments.
  • Negotiation and Risk Management:
  • Collaborating with internal stakeholders, business teams, and external parties to negotiate terms and conditions of technology-related contracts.
  • Evaluating and managing contractual risks associated with data processing, data sharing, and data transfers to ensure the organization's interests are protected while complying with legal requirements.
  • Work with An American Multinational Retail Corporation's Compliance organization to adjust existing compliance systems and processes for An American Multinational Retail Corporation's new role as a technology provider.
