Description:

We have an immediate opening for a General Counsel (GC) who will play a pivotal role in providing strategic legal advice and guidance to the Firm, including overseeing all Firm legal matters, ensuring compliance with applicable laws and regulations, and assessing and mitigating legal risks.

The GC will work closely with the Managing Partner, Executive Committee, Practice Group Leaders, Administrative Management Team and others and will serve as the primary point of contact with outside legal counsel. This is a fast-paced, hands-on position that requires exceptional legal acumen and an ability to communicate effectively with individuals at every level of the Firm.

The Firm currently has offices in California, Texas, Colorado, Arizona, Washington and Washington D.C. The position reports to the Managing Partner, can based in any of the Firm's California offices and is a hybrid role.

Key Responsibilities:
  • Providing strategic legal advice to Firm Management to support business objectives, including assessing and mitigating legal risks.
  • Overseeing and managing all legal aspects of the Firm and its national practice, including Firm governance, conflicts, risk management and compliance.
  • Designing, updating and managing the Firm's conflict check procedures.
  • Managing ethical issues, conflict waivers, lateral hire conflict checks and ethical walls.
  • Assisting with and updating the client intake process, including review of non-standard client engagement agreements.
  • Managing HIPAA compliance issues, trust account issues and subpoenas directed to the Firm.
  • Helping ensure that all Firm attorneys and staff adhere to applicable ethics rules and regulations, including training.
  • Overseeing contract negotiations, as well as drafting, reviewing and negotiating various agreements such as vendor contracts, leases, employment agreements and licensing agreements.
  • Managing litigation matters to which the Firm is or may be a party or has a material interest.
  • Working with the Firm's attorneys regarding various areas, including bankruptcy issues, employment matters, intellectual property, privacy and security matters, government compliance, tax issues and insurance renewals, questions or claims.
  • Developing, updating and implementing policies and procedures to mitigate legal risks and ensure compliance and improve efficiency.

Experience & Qualifications:
  • Juris Doctor from an accredited law school is required.
  • Active license to practice law in California is required.
  • 10+ years as a practicing attorney, preferably in a corporate or law firm setting with experience as a litigator in a multi-office, mid-sized or larger private law firm.
  • Comprehensive knowledge of substantive laws, rules of professional conduct, legal procedures, corporate law, client contracts, conflicts, regulatory compliance and issues pertaining to the unauthorized practice of law in various states.
  • Demonstrated ability to provide strategic legal advice and counsel to executive leadership.
  • Excellent analytical, problem-solving and decision-making abilities.
  • Exceptional interpersonal and communication skills, with the ability to build relationships and influence stakeholders at all levels of the organization.
  • Proven track record of effectively managing legal risks and resolving complex legal issues.
  • Ability to work independently and collaboratively and to thrive in a fast-paced, dynamic environment while effectively handling multiple priorities and deadlines.
  • Excellent leadership and management skills, with proven ability to work cohesively with a team in a complex, fast-paced business environment.
