Position Information:
The Leading Manufacturer of Fresh Food and Beverage Packaging Company is seeking a corporate transactional and securities attorney with 5-7 years of experience for the position of Senior Counsel, Corporate. Reporting to the Chief Counsel for Securities and Transactions & Assistant Corporate Secretary, this person can be located anywhere in the U.S. The Counsel will be a true business partner, having a meaningful impact on the organization by supplying sound business advice, excellent negotiation skills, and well-informed advice on corporate transactional and securities matters.

Responsibilities:
  • Assisting in mergers, acquisitions, divestitures and other strategic transactions, including term sheets, due diligence, preparation of transaction agreements, and closing process;
  • Providing legal counsel on securities law compliance and SEC reporting, including periodic reporting, disclosure controls and procedures and executive officer SOX certifications;
  • Supporting debt and equity financing transactions, including legal management of credit facilities, term loans and equity offerings;
  • Working with HR and benefits teams on employee equity plans and executive compensation matters;
  • Advising investor relations, corporate communications and corporate financial reporting functions on disclosure and securities matters, including in connection with press releases, investor presentations and management presentations;
  • Counsel on internal corporate governance and subsidiary matters, including parent and subsidiary corporate records, creation and dissolution of corporate entities, and corporate authority questions;
  • Experience successfully working in a highly collaborative manner across of a variety of business functions and geographies; and
  • Assisting where needed on other legal matters from time to time, as appropriate.

Qualifications:
Qualifications & Skills:
  • JD, training at a top national law firm and member of a state bar;
  • 5-7 years of experience gained at a law firm;
  • Significant experience advising on M&A transactions and public company reporting matters;
  • Experience with corporate finance and corporate governance preferred;
  • Ability to multi-task and work in a fast paced, changing environment and to balance multiple, concurrent projects;
  • Sound and practical business judgment and the ability to provide business-oriented, practical legal advice;
  • Strong interpersonal and communication skills; and
  • Ability to effectively manage and/or oversee outside
