Overview:We are seeking a detail-oriented and dedicated Tax and Transactional Attorney with at least 3 years of experience to join our legal team. The ideal candidate will play a critical role in providing comprehensive tax planning, compliance, and advisory services to our clients, particularly in the realms of real estate and business transactions. This is an excellent opportunity for a seasoned attorney to work on sophisticated legal matters and make a significant impact within our firm and provide comprehensive legal counsel to high-net worth clients.
Responsibilities:
The tax and transactional associate attorney will be responsible for:
- Providing expert tax advice and strategic planning for real estate transactions, including acquisitions, dispositions, financing and development projects.
- Developing complex partnership agreements and LLC operating agreements.
- Advising clients on tax implications related to business transactions, mergers and acquisitions, and business organizations.
- Conducting thorough research and analysis of complex tax issues and staying updated on tax legislation.
- Preparing and reviewing tax-related documents, agreements, and filings to ensure compliance with federal, state, and local tax laws.
- Collaborating with other attorneys, accountants, and financial advisors to develop comprehensive solutions for clients.
- Assisting in structuring investments, corporations, joint ventures, LLCs and partnerships from a tax perspective.
- Providing support in tax due diligence and risk assessment for real estate and corporate transactions.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school
- Licensed to practice law in the State of Ohio and in good standing
- Minimum of three years of experience as a tax attorney, with a strong focus on real estate and business transactions
- Proven track record of providing strategic tax advice in complex transactions
- Excellent analytical, research, and problem-solving skills
- Proficient in Microsoft Word and Excel
- Ability to manage multiple projects and meet deadlines in a fast-paced environment
- Exceptional organizational skills
Preferred Qualifications:
- LL.M. in Taxation or equivalent advanced degree
- Background in accounting or finance
