Overview:
We are seeking a detail-oriented and dedicated Tax and Transactional Attorney with at least 3 years of experience to join our legal team. The ideal candidate will play a critical role in providing comprehensive tax planning, compliance, and advisory services to our clients, particularly in the realms of real estate and business transactions. Responsibilities:
The tax and transactional associate attorney will be responsible for:
  • Providing expert tax advice and strategic planning for real estate transactions, including acquisitions, dispositions, financing and development projects.
  • Developing complex partnership agreements and LLC operating agreements.
  • Advising clients on tax implications related to business transactions, mergers and acquisitions, and business organizations.
  • Conducting thorough research and analysis of complex tax issues and staying updated on tax legislation.
  • Preparing and reviewing tax-related documents, agreements, and filings to ensure compliance with federal, state, and local tax laws.
  • Collaborating with other attorneys, accountants, and financial advisors to develop comprehensive solutions for clients.
  • Assisting in structuring investments, corporations, joint ventures, LLCs and partnerships from a tax perspective.
  • Providing support in tax due diligence and risk assessment for real estate and corporate transactions.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school
  • Licensed to practice law in the State of Ohio and in good standing
  • Minimum of three years of experience as a tax attorney, with a strong focus on real estate and business transactions
  • Proven track record of providing strategic tax advice in complex transactions
  • Excellent analytical, research, and problem-solving skills
  • Proficient in Microsoft Word and Excel
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment
  • Exceptional organizational skills

Preferred Qualifications:
  • LL.M. in Taxation or equivalent advanced degree
  • Background in accounting or finance
