Position Overview:
Represent the organization in legal matters, including transactional, regulatory, litigation and outside counsel supervision.

Essential Duties and Responsibilities:

  • Assist with regulatory projects and advise company on changes in law and regulation that may impact the business
  • Assist with external counsel management
  • Manage NDA Program
  • Drafting and negotiating legal documents including vendor program agreements, capital markets agreements and customer finance contracts.
  • Reviewing and providing comments and/or changes to documents submitted by existing vendors, capital markets intermediaries and individual customers.
  • Assess risk involved with all legal agreements and business arrangements.
  • Development of legal criteria, terms and conditions for new finance programs and the related contracts to implement such programs
  • Consult with and support General Counsel on regulatory and litigation matters
  • Selecting and retaining outside legal counsel to support transactions, handle claims/litigation, and other corporate legal matters
  • Maintain and manage external counsel relationships to ensure company achieves highest level of service, value, and consistency
  • Complete required Continuing Legal Education courses and other relevant legal training

  • Ability to assist with day to day contract / business questions.

Responsibility and Decision-Making Authority:
  • With regard to the legal aspects of individual contracts, final authority.
  • All other material matters are referred to General Counsel final approval.

Management/Supervisory Responsibilities:
No direct management responsibilities. However, by assisting operations in resolving program and contract issues, will work closely with Operations as the final legal authority on contract issues.

Qualifications:
Knowledge, Skills, and Abilities:
  • Experience in contract negotiation, multiple sectors of finance including leases, loans, POs, accounts receivable transactions, bank lines of credit, warehousing, subscription agreements, and asset backed security structures that securitize such instruments, the latter experience being applied to documenting programs and contracts for new programs that are acceptable for the secondary market and are liquid assets.
  • Ability to collaborate, build relationships, meet deadlines, influence and motivate team members to succeed in a fast-paced environment.
  • Excellent written, analytical and communication skills.
  • Skilled in demonstrating strong interpersonal and multi-tasking skills.

Education and Experience:
  • Juris Doctorate
  • 10+ years of experience in Equipment Leasing or Finance

Licensing and Certification:
In good standing license to practice law in Michigan with ongoing continuing legal education requirements, or in good standing to practice law in another US state

Tools and Equipment Used:
Personal computer, copier, fax, phone, and other typical office equipment

Location and Working Hours:
Detroit Michigan Metro area. Hours may vary and will require some evening work; frequently requires working 40-45 hours/week depending on business needs/

Travel:
Occasional travel related to attendance at industry seminars and visiting out of state business locations

Physical Demands:
  • Digital dexterity and hand/eye coordination in operation of office equipment
  • Light lifting and carrying of supplies, files, etc.
  • Ability to speak to and hear customers and/or other employees via phone or in person
  • Body motor skills sufficient to enable incumbent to move from one office location to another
