Position Summary:
The Assistant General Counsel will play a key role in the legal department of a private equity-backed industry leader as it transitions from North American to global operations. The Assistant General Counsel will be primarily responsible for working with all members of the legal department on a variety of matters including reviewing, negotiating, and drafting commercial agreements, domestic and international compliance, litigation management, legal research, corporate governance, and providing legal advice to human resources, sales, IT, marketing, finance, insurers, and purchasing. This position will lead the Company's interaction with the human resources department and provide advice and guidance in all areas of HR and labor matters, including agreements, compliance and litigation.

Core Functions:
  • Primarily responsible for providing advice to and legal oversight of employment and human resources matters.
  • Draft, review, and negotiate a wide variety of commercial contracts.
  • Provide strategic advice and guidance, of increasing sophistication and importance, to internal teams regarding business and legal issues and risks.
  • Review domestic and international compliance matters as the company expands its footprint globally.
  • Manage the lifecycle of litigation and other material claims including case assessments, insurance, outside counsel, data preservation, litigation holds, preserving privilege, and producing discovery.
  • Research and draft corporate governance documents.
  • Drive performance by identifying and implementing process improvements.

Qualifications & Requirements:
Education and Experience:
  • Juris Doctorate required.
  • 5 -10 years of legal experience required (law firm and/or in-house).
  • Experience providing counseling on a broad range of issues, including employment and HR policies and practices, performance management, recruiting, hiring, compensation, benefits, and wage and hour; working with international operations; litigation oversight; and corporate governance advice and documentation.
  • Experience reviewing and drafting supplier agreements, service agreements, XaaS agreements, NDAs, and other commercial arrangements.
  • Automotive industry experience and international experience is preferred.

Required Licenses:
  • Must be admitted to practice law in Michigan or be a member in good standing of another state bar and eligible for in-house counsel status in Michigan.
  • Skills, Abilities, and Knowledge

Excellent written and oral communication skills.
  • Skilled in Microsoft Office, including Excel, Word, Outlook, and PowerPoint.
  • Proven organizational, communication, analytical, and critical thinking skills.
  • Proven ability to work with minimal supervision, manage own time effectively, maintain control over all current responsibilities, and follows up on all relevant issues.

Travel:
Extensive travel is not required, though remote employees will be requested to attend meetings at the Company's headquarters in Ann Arbor, MI throughout the year.

Supervisor Responsibilities
This position is a working team member who coordinates, supports, trains, and is a knowledge resource for other team members. No direct reports or supervisory responsibility.

Physical Requirements:
This position is subject to Sedentary Work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time. Walking and standing are required only occasionally.
