An Other Measuring and Controlling Device Manufacturing Company is seeking an in-house Associate Corporate Counsel to join its global Legal Department. The successful candidate will report to the Company's Vice President, Associate General Counsel & Assistant Secretary, and will work on a team with responsibility for a broad range of corporate legal matters, including SEC disclosure, debt refinancings/restructurings, tax reorganizations, corporate governance, equity plan management, and global subsidiary management. This is a great opportunity to work with an energetic and creative team on a broad range of legal areas for a large, international corporation.

This is a hybrid role located in Andover, MA.

Responsibilities of the team include:
  • SEC/‘34 Act filings, including proxy statement, annual report on Form 10-K, quarterly report on Form 10-Q, Section 16 filings, and 8-Ks
  • Review of public company investor disclosures, such as earnings releases, investor presentations and other presentations
  • Support for debt refinancings and restructurings;
  • Support for internal tax reorganizations and other tax initiatives;
  • Subsidiary entity management, including cash repatriation, intercompany reorganizations and dissolutions,
  • Support of equity matters, such as stock incentive plan and employee stock purchase plan matters
  • Executive compensation and other compensation matters, working with Human Resources
  • Support for M&A transactions, including antitrust regulatory work
  • Collaborating with multiple cross-functional teams including Finance, Tax/Treasury, Investor Relations, and Human Resources

Qualifications:
  • Demonstrated experience and accomplishment in a broad range of securities and corporate matters pursuant to the '34 Act
  • Solid foundation of knowledge and understanding of public company corporate governance matters and entity management
  • Demonstrated experience and accomplishment in leveraging one's capabilities through the use of internal and external counsel to meet client needs
  • Excellent oral and written communication skills that enable effective interactions with internal client groups as well as with colleagues on the Legal team
  • Ability to organize and execute on multiple complex tasks in parallel, ensuring that deliverables are completed in a timely manner
  • Attention to detail and accuracy as well as comfort working in fast-paced environment
  • Commitment to adherence to ethics and integrity in all engagements
  • Collegial team player with a positive attitude; willingness to learn and grow in a dynamic environment

Candidate Requirements:
  • BA/BS, JD from an accredited law school
  • 3-5 years' large law firm experience
  • Licensed member of at least one state bar

*This position is a hybrid role requiring 2-3 days onsite weekly with the remainder able to work remotely. Candidates must live within commuting distance to Andover, MA.
