The Role:
A Public American Software Company's in-house legal team works to proactively address legal issues so that A Public American Software Company can continue to drive positive impact in the world. As Commercial Counsel, you will be responsible for all aspects of commercial contracting, including deal structuring, and drafting, review, and negotiation of revenue generating contracts. You will also be integral to developing scalable infrastructure for providing legal support to Palantir's rapidly growing portfolio of commercial customers, and play a strategic role in helping A Public American Software Company achieve its goals in a time of dynamic growth.

Core Responsibilities:
  • Lead drafting and negotiation of commercial customer contracts.
  • Support the continuous improvement of standard form agreements and legal processes.
  • Assist in defining and building infrastructure to effectively deliver legal support in a scalable manner to A Public American Software Company's rapidly expanding customer portfolio.
  • Collaborate closely with Business, Operations, Finance, and Engineering teams to shepherd deals to execution.

What we value:
  • Commercial contracting or technology transactions experience. Prior experience working in-house preferred, ideally at a high-growth SaaS company.
  • Ability to manage nuanced commercial transactions, including the negotiation of SaaS and licensing agreements with our customers.
  • Ability to work independently and collaborate with a cross-functional team, using effective communication, strong writing and customer service skills.
  • Demonstrated ability developing creative and analytical solutions to novel issues, while driving a portfolio of projects with minimal direction.
  • Willingness to travel and work flexibly on a varied schedule based on the needs of the team, being available during nights and weekends as needed.
  • Interest and skill in developing scalable legal infrastructure.

What We Require:
  • Attorney in good standing, licensed in at least one state in the United States or the United Kingdom.
  • 2-5 years of transactional legal experience.
