The Role:
The Opportunity:
Armis is growing, fast, and with it the Legal team is expanding as well. We are looking for an experienced corporate counsel, reporting directly to Armis' General Counsel. In this capacity, You will play a key role as part of our global legal team, and will work closely with other Legal team members as well as Armis' Finance, People, RnD, commercial, Support, People, and other teams cross-functionally.

The selected individual is able to handle a variety of corporate, compliance, and commercial matters, and have an opportunity to engage in additional practice areas such as international expansion, employment, taxation, intellectual property, product counseling, data privacy, etc. To succeed in this role, you will incorporate a pragmatic business-minded approach, detailed understanding of relevant laws and regulations and their operation in “real life,” strong understanding of our go-to-market strategy, and an ability to organize and implement various processes. You'll work closely with other business-minded professionals on all facets of our business with focus on the operational and scaling aspects of the Legal department. Knowledge of and/or ability to learn basic elements and administration of corporate legal matters is a plus.

What You Will Do…
  • Provide legal support on corporate governance, compliance, and finance matters, working closely and collaboratively with all parts of the organization such as finance, internal audit and sales operations.
  • Assist with general corporate matters, including entity management, preparation of materials for the Board of Directors and its committees, corporate formation, intercompany relations.
  • Draft, review, and negotiate a wide range of commercial agreements including software licensing agreements, SaaS agreements, partnership agreements, consulting relations, channel/VAR relations agreements, and alike typical agreements for enterprise software businesses.
  • Provide legal guidance and support to various departments including sales, marketing product, operations, to promote compliance with applicable laws and regulations including anti-bribery and ethics, government relations, export controls, employment, immigration.
  • Develop and maintain, and advise on, policies, procedures and controls to ensure governance and compliance in respect to the company's business and corporate affairs.
  • Provide advice and counsel on employment related matters such as employee relations, employee benefits, employment agreements across multiple geos, workplace policies.
  • Partner with outside counsel, as needed, with an eye toward driving business goals and providing counseling, while effectively managing time and cost.

Bonus points:
  • Tangible, material experience with high growth, B2B SaaS public companies.
  • M&A experience, including diligence, execution and integration.
  • Familiarity with public company reporting compliance, accounting, tax and finance processes, terminology, systems and issues.

What We Expect…
  • 5+ years experience, (includes minimum 2 years as in-house counsel) at a B2B SaaS company providing a mix of corporate and commercial legal support.
  • Ability to provide timely and effective legal and business advice at all organizational levels.
  • Ability to wear a few legal hats, the primary ones being ongoing corporate (governance, compliance, policies/processes/legal ops) and commercial work (quality contract analysis & negotiations).
  • Demonstrated ability to manage a high volume of matters at any given time, work well under pressure, successfully handle and prioritize multiple competing assignments, and effectively manage deadlines.
  • Pleasant demeanor and collaborative approach in managing and bringing projects to successful, balanced conclusion.
  • Familiarity and awareness of the SaaS industry.
  • Juris Doctor (JD) or JD equivalent from an accredited law school.
  • Membership with good standing in at least one U.S. State Bar.
