A European Multinational Financial Services Company is a specialty niche reinsurer, domiciled in California and licensed as an admitted insurer in 36 states (including District of Columbia), and is a qualified, accredited, or approved reinsurer in fifteen states. AZRA is a property casualty reinsurer, which writes both prospective and legacy reinsurance. AZRA has specific expertise in run-off management of U.S. legacy insurance liabilities. It services Allianz Group affiliates and third parties including third party claims administration of asbestos, environmental, workers compensation, general liability, and construction defect liabilities.

What you do:
  • Supports reinsurance-underwriting team; provides quality legal services on a timely and cost-efficient basis.
  • Provides counsel on reinsurance law and transactions, insurance law and regulations, underwriting rules, corporate policies and procedures and best practices.
  • Advises on strategies for managing and mitigating risk and structuring potential transactions within applicable regulatory framework.
  • Manages legal contracting process and interfaces with brokers and other counterparts; reviews, revises, drafts and negotiates reinsurance contracts and related transaction documents, including term sheets, indications of interest, service agreements, trust agreements, reinsurance LOCs, applications for regulatory approvals.
  • Collaborates and works closely with relevant internal stakeholders, including General Counsel, attorneys, paralegals, arbitration counsel, underwriters, claims department, finance/accounting, senior management, contracts manager and business/vendor relationship owners across various departments, in connection with contract negotiations, interpretation and related strategy.
  • Assesses potential transactions to ensure scope of reinsurance falls within AZRA's authority/licensure in applicable geographic region/state, ensures transactions are regulatory compliant.
  • Advises on governance documentation for the Underwriting Function; cultivates detailed knowledge of underwriting governance process, AZRA, AZRe and Group requirements and assists in drafting, updating and complying with corporate rules and charters.
  • Supervises review and/or reviews nondisclosure agreements for potential transactions.
  • Coordinates with Corporate Secretary, accurately assesses and advises on requirements for corporate authorization of reinsurance transactions; drafts required resolutions, board and committee meeting materials as needed.

What you bring:
  • 8-15 years of experience at a major law firm or in house legal department specializing in one or more of: corporate and financial transactions, corporate governance, insurance regulation and reinsurance; reinsurance law/regulatory experience with emphasis on reinsurance transactions/contracting is required
  • Strong work ethic and ability to work collaboratively deliver high quality legal work and perform effectively in a fast-paced environment as part of a small team
  • California State Bar License in good standing required; Juris Doctor Law Degree from ABA accredited law school
  • 2-3 years of experience managing paralegals, attorneys or external lawyers
