A role in Corporate Law means providing the legal support that enables Target to operate as a publicly held company, and successfully balance the interests of Target's multiple stakeholders. As Director Counsel, you will work with a large, cross-functional team of internal experts and trusted advisors to:
  • Lead shareholder engagement efforts with Target's significant institutional and passive investor base and support other shareholder matters, partnering closely with Target's Investor Relations and Corporate Responsibility functions to build relationships and clearly communicate Target's long-term strategy, environmental, social, and governance priorities, and corporate governance practices;
  • Lead Target's response to shareholder proposals, including engaging with proponents and working closely with cross-functional teams and leadership to develop and execute a timely and appropriate strategy that balances multi-stakeholder interests on a variety of topics and issues;
  • Serve as a key partner and trusted legal advisor to Target's Corporate Responsibility, Accounting, and Risk functions with respect to environmental, social, and governance activities, including meeting public-company disclosure obligations and multi-stakeholder expectations, as well as related goal setting, measuring, and reporting;
  • Together with other members of the Corporate Law team, provide legal services to Target's Corporate Development function, coordinating internal and external advisors to support the negotiation and execution of mergers & acquisitions, divestitures, investments, and other strategic transactions;

About You:
  • Juris Doctorate degree from an accredited law school
  • Admitted to practice law in at least one U.S. jurisdiction, in good standing; eligible for admission to the Minnesota bar
  • 8+ years of relevant experience working for a large public company or institutional investor, including at least 3 years within shareholder engagement; knowledge and understanding of sustainability reporting frameworks, standards, and best practices and emerging SEC disclosure priorities strongly preferred
  • Ability to facilitate meetings, succinctly present to large, multi-stakeholder groups, resolve conflict, build consensus, establish rapport, and collaborate effectively, internally and externally, across all levels of an organization
  • Ability to represent the company confidently, thoughtfully, and with the highest standards of integrity; strong oral and written communicator
  • Ability to work independently to learn new skills, anticipate needs, comfortably navigate ambiguous, unfamiliar, and dynamic environments, and quickly adapt to achieve enterprise-wide results
  • Excellent business judgment and ability to assess legal risk while also thinking strategically, providing practical advice, working efficiently, and influencing outcomes across business functions
  • Strong project management skills and ability to balance competing priorities and expectations; highly organized
