- Handle negotiations on the clients' behalf to create, modify, and execute deals
- Protect clients from legal risks and regulatory violations in all business transactions and develop strategies for risk-mitigation
- Advise clients towards best practices in corporate law regulation compliance by providing legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues
- Oversee support staff, paralegals, and outside lawyers hired to assist
- Perform complex legal research and extensive due diligence
- Assess legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options
- Examine existing and prospective projects, mergers, partnerships, divestitures, and acquisitions for any potential legal issues
- Modify, draft, and review contracts, process and procedure policies, government and financial reports, and other legal documents as required
Qualifications:
- Be a member in good standing of the state bar association and possess a license to practice law
- Strong transactional knowledge and understanding of corporate law, securities law, and tax law is needed
- 3-5 years of experience as a corporate lawyer, a staff attorney or associate attorney for a corporate law firm, or as in-house counsel for a corporation
- Proficient with computers, especially MS Office and Google Suite
- Superior negotiation, analytical, and communication skills are essential
