Scope of Position
A Renewable Energy Electricity Company is a market-leading independent power producer and service provider with over 35 years of experience. We deliver grid-scale power: wind (onshore and offshore), solar photovoltaic, and storage projects; distribution-scale power: solar and storage; asset optimization: technical, operational, and commercial expertise to maximize the performance of generating projects, and onsite solutions, through the Company's PowerFlex affiliate, offering a full suite of onsite energy solutions for commercial and industrial customers: solar, storage, EV charging, energy management systems, and microgrids.

Corporate transactions attorney with demonstrated renewable energy expertise in the following areas of law: corporate law, mergers and acquisitions (including joint ventures and partnerships), project finance, procurement and construction contracts, offtake agreements, interconnection and transmission agreements, real property agreements, permitting matters, organized energy markets (i.e. ISOs/RTOs) and all related contracts and governmental approvals related to renewable energy projects. Special consideration will be given to candidates with wind, solar and battery storage energy industry experience.

Responsibilities:
  • Be a part of the team that manages day to day operations of over 14 GW of wind, solar and battery projects throughout North America driving negotiations, drafting, and review of agreements relating to renewable energy assets including in wind turbines, solar panels, battery storage, EPC/BOP agreements, and other related transactions such as
  • Power purchase agreements, hedge agreements, financing and security agreements (tax equity, lease-sale back, loan, cash equity)
  • Operation and maintenance agreements, long term service agreements, warranty provisions and warranty extensions
  • Equipment supply agreements, consulting services agreements, master services agreements, third-party engagement letters and non-disclosure agreements.
  • Be at the forefront of drafting and negotiating various deal documents, such as PSA, MIPSA, APA, ECCA, and LLCAs.?
  • Conduct due diligence for acquisitions and financing purposes. Engage with team members to ensure compliance with safety requirements, permits, commercial agreements, laws and regulations, including assisting with ISO/RTO and FERC compliance matters.
  • Experience with prevailing wage and apprenticeship requirements under the Inflation Reduction Act and familiarity with operating renewable facilities a plus.
  • Manage outside legal counsel engaged by the company.
  • Support other members of the legal department as needed.

Working Conditions:
  • 70% - In Office
  • 30% - Travel

Qualifications:
  • JD from accredited law school.
  • Bar from one or more U.S. state bars.
  • At least 3 years of corporate law experience and prior experience with renewable energy operations through either a law firm, government agency, or in-house legal department required.
  • Excellent commercial drafting and negotiation skills.
  • Flexibility and willingness to work on a variety of legal matters.
  • Willingness to view damage mitigation and “putting out fires” as a job well done and gratifying.
  • Ability to simultaneously manage a variety of assignments, work quickly and effectively under pressure and to prioritize activities.
  • Strong interpersonal skills and the ability to work effectively as part of a team.
  • Travel both domestic and internationally will be required.
  • Excellent oral and written communication skills with the ability to explain complex legal issues simply and concisely to a wide range of audiences.
