A Spacecraft Manufacturing Company is looking for a General Counsel to join our fast-paced dynamic company. Reporting to the Head of Operations, the General Counsel will provide direct legal counsel across A Spacecraft Manufacturing Company.

This position will provide leadership on the execution of day-to-day legal needs, including commercial and government sales contracts, commercial agreements, regulatory compliance, IP protection, corporate structuring, and complex transaction management as A Spacecraft Manufacturing Company continues on its exciting growth trajectory.

Responsibilities:
  • Provide counsel to leadership on legal strategies to identify, prioritize and address risks facing the company worldwide.
  • Represent and advise the company the company on high-complexity/high-impact engagements with governmental, regulatory and commercial counterparties.
  • Serves as the subject matter expert and resource across the company on corporate governance policies and procedures and related priorities.
  • Develops and implements strategic and operational risk management policies and procedures.
  • Creates, negotiates, reviews and executes agreements.
  • Ensure compliance with all applicable regulatory requirements, including but not limited to US and international government and commercial contract law, regulatory reporting, export controls, labor and employment across the company worldwide.
  • Direct the development and implementation of scalable processes and systems within the legal functional area.
  • Support the systematic identification and protection of the company's intellectual property.
  • Provide executive leadership and guidance to broader corporate legal team.
  • Retain, direct and review the work of outside counsel as necessary.
  • Other duties and special projects as assigned.

Requirements:
  • U.S. Persons status is required as this position needs to access export-controlled data.
  • Juris Doctorate from an ABA-Accredited law school, and an active member in good standing of a state bar.
  • At least 10+ years securities/corporate law experience at a major law firm and/or as an in-house legal counsel.
  • A minimum of 5 years managing all aspects of company governance and regulatory activities.
  • A minimum of 5 years of experience in the aerospace, defense, or other equally technical and manufacturing intensive industries.
  • Successful track record managing in-house personnel and outside counsel.
  • Experience partnering with all levels and cross-functional and cross-border partners, from executives and board members to front-line employees.
  • Broad legal knowledge of government contracts, commercial transactions regulatory compliance, litigation, and intellectual property.
