Description:
A Capital Market Company Legal Counsel will work closely with the General Counsel of A Capital Market Company in support of the A Capital Market Company Outsourced OCIO platform to provide legal advice on day-to-day matters. This role will focus on legal due diligence of proposed investments, negotiation of legal agreements with clients and investment managers, coordination of multi-departmental process for investments and review of requests for proposals and other marketing material.Responsibilities include, but are not limited to:
- Investment Facing
- Review and summarize pertinent investment fund documents (PPMs, LPAs, etc.) and consult with additional legal partners as needed.
- Prepare and negotiate side letters and Investment Management Agreements (IMA) for client investments in various asset classes, such as private capital, hedge funds, real assets, equities and fixed income.
- Prepare and distribute summaries of investments to clients' attorneys, as needed, and respond to questions.
- Coordinate with internal groups in preparation for investment preparation and execution, including operations, operational due diligence, investment teams.
- Review and summarize pertinent investment fund documents for legacy investments for new clients.
- Client Facing
- Review RFP and marketing materials and provide legal analysis to Compliance partners.
- Review and update client documents including Investment Policy Statements (IPS), IMAs, side letter terms.
- Advise on implementation of client investment restrictions.
General:
- Review and analyze proposed and adopted regulations applicable to the business.
- Assume ownership of various ad-hoc projects.
Ideal Candidate Profile:
- BA and JD degrees required.
- Licensed to practice law in Colorado.
- 5 to 10 years of legal experience in the financial services industry experience required, with work in the alternative investments management industry preferred.
- Proficiency in Microsoft Office (MS Outlook, Word, Excel and PowerPoint).
- Ability to multi-task and manage competing priorities effectively while meeting deadlines.
- Strong legal and organizational skills and exceptional detail–orientation; work product is accurate and completed on a timely basis.
- Ability to work independently as well as within a team; self-starter.
- Strong work ethic and eager to learn in a highly intellectual, fast-paced environment.
