The Impact:
An American Publicly Traded Corporation Commodity Insights, a division of An American Publicly Traded Corporation. (“CI”) is seeking a senior pragmatic, commercially-minded lawyer, who is bilingual in English and Spanish, with six to ten years of experience to join its Legal team, based in Mexico City or Houston. You will be primarily responsible for providing legal advice and support to CI's consulting business in the Americas, which will include engaging with internal clients as well as external customers. You may also be involved in negotiating and drafting commercial contracts with key strategic partners and clients, as well as assisting the Legal team with a wide range of other legal matters including, support on M&A transactions, regulatory and intellectual property issues.

Responsibilities:
  • Supporting CI's global consultancy business (concentrating on the Americas), including serving as the primary point of contact and liaison for any legal issues relating to this business, negotiating CI's Master Consulting Services Agreement and associated documents, developing new template documents and delivering training to the consultancy business teams on new terms and policies.
  • Working with internal lawyers to assist in updating and maintaining agreement templates for the consulting business to reflect changes to new or amended laws and markets, industry trends and practices.
  • Delivering legal and best practice training to the consulting business.
  • Interact and collaborate with internal team members and stakeholders on other legal matters impacting the consulting business including: Information security, privacy (GDPR, DPPA, CCPA), and the management and protection of the company's intellectual property.
  • Negotiating, drafting and advising on commercial contracts, including exchange licenses, strategic collaboration agreements, service agreements, software licenses, amendments, order forms, and consultancy agreements.
  • Managing outside counsel as appropriate.
  • Providing legal support on M&A transactions (such as due diligence, reviewing transaction documents)
  • Work as a team member, while promoting an environment of mutual respect

Compensation/Benefits Information: (This section is only applicable to US candidates)

An American Publicly Traded Corporation states that the anticipated base salary range for this position is $118,094 to $207,348.5. Final base salary for this role will be based on the individual's geographic location, as well as experience level, skill set, training, licenses and certifications.

In addition to base compensation, this role is eligible for an annual incentive plan. This role is not eligible for additional compensation such as an annual incentive bonus or sales commission plan.

What We're Looking For:
Basic Required Qualifications:
  • Precise English-language drafting skills and the ability to fluently negotiate contractual terms in both English and Spanish. Fluency in Portuguese a plus.
  • University and law school degrees, qualified to practice law in Mexico or any other applicable U.S. or other relevant common law jurisdiction, with a minimum of six (6) years of commercial law experience as an associate in a top law firm or corporation. In-house experience would be an advantage.
  • Experience in providing support and advice to a consultancy business would be ideal. Or experience in being responsible for the legal support of a global, commercial business (or part of a global, commercial business) is required.
  • Strong working knowledge of commercial and intellectual property law and an understanding of the laws of the jurisdictions where CI does business.
  • Clear understanding of and extensive experience with: the protection of copyright and other proprietary rights; warranties; indemnifications; and disclaimers of liability.
  • Prior experience in commodities or financial services markets, information services or licensing.
  • A practical, business-oriented approach to complex commercial engagements and agreements.
  • Effectively counselling internal clients by providing them with clear, concise, pragmatic and actionable advice and creative solutions to meet their business needs.
  • Strategic, emotionally intelligent thinker with an ability to instil trust and confidence in cross-functional and cross-divisional team members and stakeholders.
  • Ability to stay current with rapidly evolving industry trends and practices, as they relate to commodities, intellectual property, technology, privacy, anti-trust etc.
  • Protect SPGMI's intellectual property and limit its liability.
  • Use legal knowledge and skills to manage and minimize the risk of disputes and breaches by the business.
  • Identify, enforce and provide training on appropriate policies and procedures.
  • Ability to undertake large, long-term projects and to complete and implement workable solutions.
