Description:
An Independent Power Producer Company is actively seeking a highly qualified Senior Counsel (Commercial Trading) to join our team at our Houston, TX location.Responsibilities:
- Identify and analyze legal issues, providing clear and well-reasoned recommendations that reflect an understanding of the company's business.
- Formulate and deliver timely, high-quality legal advice to clients.
- Review, negotiate, and draft complex legal documents as required by the area of specialization.
- Manage the work of outside counsel effectively and competently in areas of specialization.
- Contribute significantly to the development and implementation of sound company policies in areas of specialization and new business ventures.
- Communicate effectively with all levels of the organization, including commercial, trading controls, regulatory, and credit teams.
- Adhere to the company's corporate vision, values, and high ethical standards.
- Ensure compliance with commercial agreements and trading regulatory regimes.
- Support general contracting needs of the company (e.g., supply chain, real estate), as needed based on bandwidth and commercial team requirements.
Required Experience:
- Proficiency with ISDAs, NAESBs, applicable annexes/schedules, long form confirmations
- Experience with First Lien ISDAs
- Familiarity with AMAs, PPAs, EMAs
- Knowledge of Dodd-Frank and trading compliance
- Understanding of FCM agreements
- Experience with transmission/pipeline agreements
- Knowledge of coal and oil purchase and transportation (rail, barge, etc.)
- Familiarity with RECs, RGGIs, and other products in power and related markets
- Experience with related credit support documentation (guarantees, LCs, etc.)
Basic Qualifications:
- Juris Doctor (JD) or Bachelor of Laws (LLB) required.
- Minimum of 5-6 years of relevant experience in commercial, corporate, and/or transactional legal practice.
- Admission to the Bar in the jurisdiction over the principal work location (e.g., Texas, Pennsylvania, Maryland, or DC).
Preferred Qualifications:
- Graduation from an accredited law school with excellent academic credentials.
- 3-5 years of training at a nationally or regionally recognized law firm.
- 2-3 years of corporate (in-house) experience.
- Knowledge of and experience advising companies in the power generation industry.
