The Pro Bono Managing Attorney (Transactional) will work with the Pro Bono Team to support the firm's Pro Bono Initiative throughout its 16 global offices. The ideal candidate will have significant legal expertise counseling nonprofit, tax-exempt organizations, and can use their nonprofit experience to leverage nonprofit related pro bono work for the firm's attorneys. This newly created role will support the firm's mission to facilitate broad lawyer pro bono engagement by providing high-level substantive legal support, supervision and training to corporate lawyers working on pro bono matters for nonprofit, tax-exempt organizations, and also will be integrated into the Pro Bono Team's central administrative workstreams relating to growing and managing the firm's pro bono program.

The successful candidate will be sensitive to risk management issues, and will be driven to enhance attorney professional development, engagement, retention, recruitment, firm brand enhancement and recognition, and billable client relationships. Additionally, if the successful candidate has the appropriate expertise they also may have the opportunity to support the growth of the firm's for-profit social enterprise pro bono work, so candidates should share any relevant expertise in this regard. This position will report to the Director of Pro Bono and will be a member of the firm's world class GO! (Global Operations) Team and also will work in collaboration with the firm's Tax-Exempt Organizations legal team.

What you will do:
Legal Work:
  • Facilitate Intake: Lead the Pro Bono Team's screening of requests for pro bono assistance from nonprofit organizations (and potentially for-profit social enterprises), offer “scoping calls” when needed to identify and assess any nonprofit law-related issues, liaise with the Tax-Exempt Organization group, as well as track requests for legal assistance from nonprofit organizations, help troubleshoot positional/business related conflicts, prepare the engagement letters, and staff nonprofit related pro bono matters.
  • Offer Training and Knowledge Management Resources: Attend, facilitate, and, where appropriate, develop and offer trainings on nonprofit law, working with the TEO group, including both entity formation and ongoing corporate governance issues. Build and maintain knowledge management resources for lawyers providing pro bono support to nonprofit organizations (and potentially for-profit social enterprises). Monitor legal developments and update attorneys as necessary. Participate in TEO group meetings and KM opportunities.
  • Support Associates' Professional Development: Consider how pro bono can support associates' professional development overall, and collaborate with the firm's Learning + Professional Development team to develop programming and/or trainings to help associates build their corporate and transactional skills.
  • Provide Oversight: Use experience representing nonprofit, tax-exempt organizations to provide substantive legal oversight and mentor teams working on pro bono matters for nonprofit, tax-exempt organizations, with an eye towards risk management considerations and ensuring the best possible results for clients and meaningful professional development opportunities for volunteer attorneys. Track progress and outcomes.

General Pro Bono Team Responsibilities:
  • Corporate Lawyer Pro Bono Engagement: Promote and facilitate lawyer engagement in the pro bono representation of nonprofit, tax-exempt clients by maintaining strong relationships in all corporate business units of the firm and their lawyers.
  • Pro Bono Opportunity Development: Working closely with the Pro Bono Team, source quality pro bono clients and develop/execute engaging pro bono programming, which includes developing and maintaining strong relationships with local, national and international legal services organizations that vet and refer client-matters and clinical/legal workshop opportunities to the firm's Pro Bono Initiative.
  • Attorney-Focused Services: Assist attorneys identify and obtain pro bono client matters of interest, and ensure that they have appropriate training and support.
  • Risk Management: Help manage risk during the lifecycle of a matter, including intake, matter opening, attorney transitions, and case closures; and act as a resource for attorneys regarding such areas as engagement letters, co-counseling agreements, client management issues and legal ethics issues specific to pro bono (e.g., the limited representation rules).
  • Internal Marketing: Facilitate internal announcements and memos from Firm management and/or the Pro Bono Committee, manage the pro bono iNet site, and develop pro bono information sessions and programming to engender interest in pro bono and pride in the Firm's Pro Bono Initiative.
  • External Marketing / Business Development: Facilitate the development of external pro bono communications, including website content, press releases, award nominations, social media and videos.

Who You Are:
  • Bachelor's degree (B. A.) from a four-year college or university
  • JD and bar membership in the state of practice
  • Strong legal expertise and knowledge of tax-exempt organization law and practice.
  • Ability to work in a professional, collaborative, and collegial manner with attorneys and administrative staff, as well as the ability to work independently and be proactive.
  • Experience supervising, training and mentoring more junior attorneys.
  • Excellence in the following areas: organizational skills, problem-solving, attention to detail, relationship-building, oral and written communication, and client service.
  • Ability to manage and complete multiple/competing assignments in a timely manner.
  • Excellent judgment, and ability to protect and maintain confidential and sensitive information.
  • Demonstrated dedication to advancing social justice and in particular to expanding access to legal services for individuals and communities in need.
  • Familiarity with pro bono practices at large law firms is desirable.
  • Proficiency in research, data mining and analysis, WORD, Excel, PowerPoint and other technologies.
