What you will be doing:
The Legal Department at A Pharmaceutical Products Wholesaler Company is growing! We are looking for a lawyer with strong a strong aptitude and ability in commercial contracting, coupled with the ability to deliver effective and efficient legal services. Candidates must possess not only business savvy, but be able to manage projects, and provide strategic counseling to join the high-performing, collaborative, and growing Legal team.

In this role, the Senor Commercial Counsel will provide general legal counsel to A Pharmaceutical Products Wholesaler Company's Distribution (both Wholesale and Specialty) and Supply Chain units primarily supporting the Health Systems and Specialty business teams and will focus on negotiating agreements with hospitals, clinics, providers, health systems and Group Purchasing Organizations (GPO), as well as providing counseling to the business unit related to those services.

The ideal candidate is a skilled lawyer who understands the legal issues and can balance legal advice with pragmatic and strategic business-minded considerations. While strong legal skills are essential, the ideal candidate is expected to provide advice based on a nuanced understanding of A Pharmaceutical Products Wholesaler Company's business, industry, and operations, and to work as a proactive business partner in achieving the company's business goals and objectives, while protecting A Pharmaceutical Products Wholesaler Company's interests by identifying and managing regulatory and other risks. The ideal candidate will also be expected to provide advice in a succinct and straight-forward manner, while working directly with internal leadership, sales, financial, and operations personnel.

This role is a US based remote position (Preference is the Conshohocken, PA area).
  • Prepare, review, and negotiate a variety of contracts including commercial purchasing agreements, sales agreements, credit agreements, RFP responses in accordance with the Company's objectives and policies and procedures.
  • Coordinate with other attorneys and paralegals to ensure process efficiency and consistency across projects and business units.
  • Work closely with cross-functional teams including the business, sales and finance teams.
  • Advise internal groups on contract interpretation and other legal issues and risks.
  • Research on regulatory, licensure, and/or contractual terms
  • Take on special projects that arise as they arise.

What your background should look like
  • 4-7 years of experience as a lawyer combined with complex commercial transactions, contract negotiation and drafting. Law firm experience and experience in-house is preferred.
  • Law Degree - must be a graduate of an accredited law school, and must be barred with a state bar (preferably Pennsylvania)
  • This role is comparable to a mid-level associate in a law firm and is a lawyer who can manage a volume of sophisticated work with minimal guidance and oversight from his or her manager in most instances
  • Strong negotiating skills and the ability to negotiate directly with external parties with little oversight

  • Ability to contribute to legal team's ongoing efforts to create, improve and operationalize internal processes, best practices, and commercial templates
  • Effectively multi-tasks and prioritize tasks to ensure that work is completed in a timely and efficient matter

  • Excellent judgment and ability to resolve complex issues effectively, including demonstrating good business judgment by knowing what issues to push, when to seek help internally, and how to manage A Pharmaceutical Products Wholesaler Company's internal negotiation and approvals process
  • Demonstrate ability to be flexible and agile across the department
  • Exceptional drafting skills and the ability to communicate effectively both orally and in writing
  • Ability to provide contract interpretation counsel and business law advice directly to senior business leaders and decision-makers
  • Strong interpersonal skills and the ability to maintain professional and positive demeanor with internal clients, clients of A Pharmaceutical Products Wholesaler Company, senior management, and outside counsel in all circumstances
