Description:

We are looking for a fully qualified attorney to join our in-house legal team who will apply a pragmatic, creative, proactive and thoughtful approach negotiating customer contracts and providing legal advice to business teams. As a member of this close-knit, highly collaborative team, you will be encouraged to take projects from start to completion, while aligning with An American Multinational Information Technology Company's policies and coordinating with internal stakeholders worldwide.

Under the direction of a senior level attorney, you will provide legal counsel, advice, and guidance for An American Multinational Information Technology Company's software licensing, distribution, and development, and for other commercial matters as requested from time to time.

What you will do:
  • Negotiate, draft, and advise on software license agreements related to the outbound licensing of An American Multinational Information Technology Company's software, including cloud based and on-premise solutions and related professional services.
  • Negotiate, draft and advise on reseller, channel partner, and distribution agreements for the indirect sale of An American Multinational Information Technology Company's software and related services.
  • Manage the flow of requests for specific legal agreement review and secure necessary approvals from the applicable business, finance, and operations leads.
  • Collaborate closely with internal clients and stakeholders including An American Multinational Information Technology Company's sales, finance, and operations teams.
  • Assist with merger and acquisition due diligence review in coordination with other members of the legal team and coordinate with other departments.
  • Opportunity to work in office (Troy, MI), hybrid, or remotely.

Requirements:
  • 1-5 years' experience reviewing, negotiating, and drafting various technology related agreements, including software license and professional services agreements, within a global organization.
  • Hands-on transactional experience handling intellectual property and commercial legal issues, with an ability to advise on liabilities, legal rights, and remedies available to An American Multinational Information Technology Company.
  • Member in good standing of a State Bar (may require eligibility for registered in house counsel), with no prior adverse disciplinary action.
  • Excellent organizational skills and attention to detail, including the ability to prioritize multiple tasks and respond promptly to shifting priorities.
  • Ability to work and communicate well in an international, multi-layered organization with a global team while providing pragmatic, business-oriented advice for problem solving.
  • Respectful and highly collaborative, but with ability to work independently.

Position will be full-time
