Associate Corporate Counsel – Construction Contract Execution
The Associate Corporate Counsel, Construction Contract Execution, provides legal support for A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company, the leading global provider of wind power plant solutions, in the United States and Canada. The Associate Corporate Counsel works closely with the Customer Project Execution (“CPX”) Legal team to provide comprehensive legal counsel and support to A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company's CPX team, headquartered in Portland, Oregon, in connection with the development and construction of wind energy projects and the safe and timely delivery of wind turbines. The position partners with stakeholders in the CPX team and across A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company to draft, review and negotiate change orders, settlements, consents to collateral assignments, estoppels and other related documents; draft correspondence; effectively supervise external counsel where necessary; interact with global legal and business colleagues on multi-jurisdictional transactions and initiatives; advise on issues that arise during the construction phase, and monitor compliance with internal corporate governance policies.

Responsibilities:
  • Conduct legal research and analysis on matters related to the wind industry, including regulatory compliance, permitting requirements, contractual obligations, prevailing wage and apprenticeship, and domestic content requirements under the Inflation Reduction Act.
  • Draft correspondence, memoranda, and presentations.
  • Negotiate, draft, and review various construction-related agreements that accurately reflect the commercial and legal decisions and comply with company guidelines and preferences.
  • Effectively coordinate external counsel on construction disputes and complex settlements.
  • Manage and provide guidance on construction-related legal issues, including advising on compliance with governmental regulations.
  • Advise project and construction managers and others on to ensure that projects comply with applicable laws and regulations as well as advise on risk management strategies related to various agreements.
  • Work closely and effectively with CPX Legal, Onshore Legal, General Counsel, senior management, other company lawyers and employees of all levels and cultures within a global organization.
  • Exhibit good judgment, decision-making, research, analytical, and communication skills.
  • Develop and implement programs to educate and train business teams on legal issues.
  • Develop and implement systems, processes, guidelines, and forms to increase the efficiency of the delivery of legal services and support A Danish Manufacturer, Seller, Installer, and Servicer of Wind Turbines Company' profitability.
  • Develop and organize budgets for external counsel.
  • Follow company processes and guidelines.
  • Perform other tasks as required.

Qualifications:
  • J.D from an accredited law school, admission to state bar, and ability to practice law.
  • 2 – 3 years of experience practicing law, or less if substantial equivalent experience in the wind industry and contractual realm.
  • Knowledge of commercial law and experience with complex transactions and contracts.
  • Client service orientation.
  • Experience with energy, construction, or finance preferred.
  • Strong negotiating, drafting, organization, and communication skills.
  • Ability to excel in an exciting and complex work environment.
  • Comfort with ambiguity.
  • Ability to work independently subject to appropriate supervision.
  • Ability to analyze problems and apply legal principles, facts, and precedents to recommend adoption of an effective, practical, and proper course of action.
