About the Job:
A Software Company in Addison, Texas is hiring an Associate General Counsel to work and collaborate with our current in-house general counsel. As the Associate General counsel you will work closely with our Counsel.

Job Duties to Include
  • Provide expert timely and skilled legal counsel and guidance on a wide range of legal matters, including SaaS commercial contracts, HIPAA compliance, data privacy, employment law and regulatory compliance, with emphasis on the healthcare industry.
  • Draft, review, and negotiate various contracts and agreements, including customer contracts, vendor agreements, employment agreements, BAAs, NDAs, HIPAA Business Associate Agreements, and Non-disclosure Agreements, ensuring compliance with company policies and applicable laws and regulations.
  • Partner with cross-functional teams, including sales, marketing, product, human resources and finance, to drive strategic initiatives and ensure legal compliance across all aspects of the company's business.
  • Stay abreast of relevant laws, regulations, and industry trends impacting the SaaS business with emphasis on the healthcare industry, and advise internal stakeholders on potential implications and risk mitigation strategies.
  • Assist in the development and implementation of legal policies, procedures, and best practices to support the company's growth and expansion in the SaaS market.
  • Under the direction of General Counsel, oversee legal disputes and litigation matters, working closely with internal and external counsel as needed to achieve favorable outcomes for the company.

Requirements:
  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the a State Bar (Texas State bar. preferred).
  • 5+ years of experience practicing law in with in-house corporate role. General counsel experience preferred. Focus on SaaS commercial transactions, HIPAA, employment, and technology law, within the healthcare industry preferred.
  • Proven track record of drafting and negotiating complex SaaS commercial contracts, with a strong understanding of SaaS business models and healthcare industry-specific legal issues. (e.g., HIPAA, Anti-kickback, Stark, Sunshine Act, etc.).
  • Solid grasp of HIPAA data privacy and security laws, including general knowledge of GDPR and PHI, and experience advising on compliance matters related to data protection, security and privacy.
  • Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and influence decision-making at all levels of the organization company.
  • Strong analytical and problem-solving abilities, with a keen attention to detail and the ability to analyze legal issues from both a business and legal perspective.
