Job Summary:
The Asset Management Group of the Corporate Department is seeking an experienced Registered Funds Associate, preferably with 3-6 years of legal experience.

Duties/Responsibilities:
As a Registered Funds Attorney, you will be responsible for providing legal advice and guidance to our clients on the full range of matters related to registered investment companies, including mutual funds, exchange-traded funds (ETFs), listed closed-end funds, interval funds, tender offer funds, and business development companies, and their trustees/directors. You will also be responsible for advising investment advisers on all their business and regulatory matters. You will work closely with clients, internal teams, and regulatory authorities to ensure compliance with applicable laws and regulations.

Responsibilities will include:
  • Providing legal counsel and guidance to clients on matters related to registered investment companies and their advisers and boards.This includes fund formation, registration, and ongoing compliance;
  • Advice regarding product development, including novel product designs;
  • Reviewing and drafting legal documents, including prospectuses, statements of additional information, and shareholder reports;
  • Conducting legal research and analysis on novel issues, including review of relevant laws, regulations, and industry trends;
  • Advising clients on compliance with securities laws, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934;
  • Representing clients in interactions with regulatory authorities, such as the Securities and Exchange Commission (SEC) and state securities regulators;
  • Collaborating with clients, including lawyers, portfolio managers, product development, and compliance officers, to ensure legal compliance and address any legal issues that may arise;
  • Providing subject matter expertise in related practices, such as mergers and acquisitions in the financial services industry; and
  • Providing training and guidance to junior attorneys and legal staff.

Required Skills/Abilities:
Qualified candidates will have 3 – 6 years of legal experience practicing as a Registered Funds Attorney. Candidates must have a strong knowledge of securities laws and regulations, particularly those related to registered investment companies and registered investment advisers, and proven ability to communicate complex legal concepts effectively to clients and internal stakeholders. Candidates should also have excellent analytical, research, and problem-solving skills and the ability to build and maintain relationships with clients and colleagues. Flexibility to work independently and as part of a global team, will also be an important skillset to possess. J.D. degree from an accredited law school and admission to the bar in the relevant jurisdiction you are apply for, is required.
