Summary:This position will work as part of a team of attorneys and contract professionals responsible for the drafting, negotiating, and processing of contracts for A Biotechnology Company' North American business units, specifically involving commercial, corporate, and real estate transactions, as well as handling legal disputes pre-litigation and managing outside counsel with formal litigation. This position presents the opportunity for a successful candidate to receive specialized training and to develop skills that open possibilities for a long-term career path within A Biotechnology Company.
Primary Responsibilities for Role:
- Draft, review and negotiate contracts, particularly those related to industrial and manufacturing matters, as well as real estate, R & D, and clinical trials.
- Draft, review and negotiate the leasing of retail and manufacturing sites.
- Lead the management of litigation related to personal injury, real estate, product liability, and other general disputes.
- Draft, review, and finalize corporate transactions, corporate governance, and other matters related thereto.
- Supervise a paralegal and/or corporate counsel.
- Support Deputy General Counsel with transactional matters, mergers and acquisitions, partnerships, joint ventures, and other duties as needed.
Knowledge, Skills & Abilities:
- Strong contract drafting and negotiation skills, with an excellent ability to issue spot and integrate legal advice with business goals.
- Ability to work well in a cross-functional team environment, as well as in a small team environment and become a productive and positive member of the legal team.
- Strong verbal and written communication skills, including the ability to communicate concisely.
- Effective communication skills necessary to resolve disputes and bring teams together to effectively solve problems and resolve disputes.
- Ability to supervise a small team including a paralegal and/or corporate counsel.
- Experience in the manufacturing and/or pharmaceutical industry is preferred, candidates must present the skills and aptitude to undertake the preparation and negotiation of complex agreements.
Education:
- J.D. from an accredited academic institution required.
- Admission to a state bar is required.
Experience:
Typically requires at least 8 years of total experience. A minimum of three (3) years of relevant transactional / general counseling experience in the industrial and/or manufacturing industry, and at least three (3) years of law firm experience related to general litigation is preferred.
