Description:

The Senior Counsel, Corporate Functions will be a key member of the Legal Leadership Team. They will manage risk, provide guidance to the leadership teams, and assist with highly visible and strategic projects to help strengthen A Global, Publicly-Traded Medical Device Company's sourcing agreement and processes as well as general legal support for these functions. In addition, they will seek to continuously improve the legal services provided while enhancing efficiency by developing an understanding of the business needs and stakeholder 
perspectives through leveraging internal and external legal experts to identify potential legal implications and solutions.

Responsibilities:
  • Provide leadership and legal support for a wide range of Corporate affairs.
  • Lead Legal partner for Corporate functions (Corporate Governance, Finance, Business Development, IT, HR Shared Services and Talent Management).
  • Provide advice and counsel concerning securities laws, governance, banking, data privacy, mergers and acquisitions, cybersecurity, and HR practices.
  • Design, build, and execute strategic legal objectives that drive exceptional performance in the Corporate functions.
  • Monitor and analyze potential legal risks and develop plans for addressing and mitigating them as appropriate.
  • Provide ongoing education to the Corporate functions on relevant legal matters.
  • Lead contract review and negotiations.
  • Provide advice and counsel concerning contracts, employment law, FDA Regulatory, compliance and other day-to-day matters.
  • Manager outside counsel relationships.
  • Collaborate with other members of the legal team to ensure consistency in legal advice across A Global, Publicly-Traded Medical Device Company.

Requirements:
  • JD from an accredited School of Law.
  • License to practice law from a state Bar Association and eligibility for in-house exemption.
  • At least 10 years of legal experience, with a portion of that as in-house corporate counsel in a commercial business environment or nationally prominent law firm.
  • Experience in working with applicable laws and regulations, with an emphasis on FDA, Compliance (US and Global) and Commercial Contract Law and unfair competition law.

?Strongly Preferred:
  • Knowledge of securities laws, finance, litigation and/or Employment Law.
  • Excellent knowledge and understanding of Contracts and Corporate Law.
  • Demonstrated ability to create legal, defensive, or proactive strategies and to negotiate business transactions
