About the role:We are seeking an experienced attorney to join A Private Equity Firm in San Francisco, California in the company's first in-house legal role. In this position, you will report directly to the CFO and work cross-functionally within our organization to ensure that legal matters are handled in a professional and efficient manner. You will be responsible for providing legal advice and support on company matters, drafting and reviewing legal documents, and overseeing regulatory compliance. Key Responsibilities:
- Review, draft, and negotiate contracts, including fund formation documents, general partner agreements, investment documents, NDAs, MSAs, and employment agreements
- Manage outside fund counsel and review fund offering documents and side letters when launching new fund products; serve as the in-house legal expert with respect to provisions and mechanics of the fund governing documents
- Oversee the company's compliance program to ensure the company is in compliance with securities law and regulations as well as fund governing documents
- Work with outside counsel to manage legal matters requiring specialized expertise or additional resources
- Monitor legal developments in the industry and make recommendations to the business regarding process and policy updates
Qualifications:
- Minimum 5 years of legal experience, including at least 3 years at a law firm
- JD (or equivalent) degree from an accredited law school
- Experience working in and/or with private equity, venture capital, or hedge funds
- Ability to analyze complex legal issues and provide clear, practical advice
- Knowledge of regulatory requirements and industry best practices for registered investment advisers
- High attention to detail
- Excellent communication skills with the ability to work effectively with a diversity of teams and individuals
